Services and Custom Work Terms
Services and Custom Work Terms
Lazy Potato Express, Inc.
Effective Date: September 27, 2026
Application
These terms apply to computer repair, technical services, coding and web development, writing and digital projects, and other custom services offered by LPE.
Project Agreement
Custom work will be quoted before work begins. The product/service, price, scope, deliverables, and other project-specific terms will be documented in physical or electronic form and agreed to before work begins. Each project may contain additional terms appropriate to the requested work.
Project-Specific Terms Control
A project agreement may establish scope, price/payment schedule, deposits, milestones, deliverables, revisions, customer responsibilities, deadlines, IP rights, licensing, third-party expenses, cancellation provisions, confidentiality, acceptance criteria, and other requirements. Project-specific terms control over conflicting general service terms for that project.
Final Sale
Once custom or digital project terms have been agreed to and signed or otherwise validly accepted, the project is final sale and non-refundable except as expressly provided in that agreement or required by law.
Pre-Existing Intellectual Property
LPE retains ownership of pre-existing and independently developed source code, libraries, utilities, frameworks, templates, development tools, processes, methods, documentation, designs, techniques, know-how, and other IP. Performing a project does not transfer those materials unless expressly stated in writing.
Customer Rights in Deliverables
The customer’s ownership or license rights in a custom deliverable are limited to rights expressly granted in the applicable project agreement and scope. No IP ownership transfers merely because a customer paid for services unless the agreement provides for that transfer.
Customer-Supplied Materials
Customers represent they have rights or permissions reasonably necessary for material they provide. LPE may refuse material reasonably believed unlawful, infringing, fraudulent, malicious, or otherwise inappropriate.
Computer Repair and Data
Customers are responsible for maintaining current backups of important data before service. LPE may offer backup services as a convenience, but no backup method is guaranteed to capture or preserve every file, setting, application, credential, database, configuration, or other item. To the maximum extent permitted by law, LPE is not responsible for data loss, corruption, or inability to recover data associated with repair, diagnosis, backup, recovery, hardware failure, pre-existing damage, malware, software failure, or other technical conditions, except where liability cannot lawfully be excluded.
Unclaimed Equipment
Customers will be notified using available contact information when equipment is ready or customer action is required. Equipment unclaimed for more than 30 days may incur reasonable storage charges where permitted by law. Equipment unclaimed for 90 days or more may be treated as abandoned, subject to notice, lien, sale, disposal, unclaimed-property, or other procedures required by law. Nothing here automatically transfers ownership where additional legal procedures are required.
Third-Party Components
Projects may depend on independent hardware, software, hosting, domains, APIs, libraries, plugins, platforms, or other services. Unless expressly agreed otherwise, LPE cannot guarantee their continued availability, compatibility, pricing, policies, or performance.
